Welcome to Utopia Bedding. These Terms of Use (“Terms”) govern your access to and use of the websites, mobile websites, applications, digital platforms, and related services operated by Utopia Bedding, Inc. (“Utopia Bedding,” “we,” “our,” or “us”) (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. ELIGIBILITY & JURISDICTION

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

The Services are intended for users located in the United States. If you access the Services from outside the U.S., you do so at your own risk and are responsible for compliance with applicable local laws.

Utopia Bedding does not knowingly collect personal information from children under the age of 13. If we become aware that we have collected such information, we will delete it in accordance with our Privacy Policy. Use of the Services by children under 13 is prohibited.

2. SCOPE OF SERVICES

The Services include, without limitation:
• Browsing and purchasing Utopia Bedding products
• Creating and managing user accounts
• Accessing content, features, and promotions
• Customer support and communications
• Any future digital products or features we introduce

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

Prices are subject to change without notice. Taxes and shipping fees are calculated at checkout. Payment processing is handled by third-party providers. Utopia Bedding does not store full payment card details.

10. SHIPPING, TITLE & RISK OF LOSS

Shipping terms, costs, and estimated delivery times are provided at checkout. Title and risk of loss pass to you upon delivery to the carrier, except where prohibited by law. Utopia Bedding is not responsible for delays caused by carriers or circumstances beyond our control.

11. RETURNS & EXCHANGES

Returns and exchanges are governed by our Return Policy, which is incorporated into these Terms by reference.

12. USER-GENERATED CONTENT

If you submit reviews, feedback, images, or other content, you grant Utopia Bedding a non-exclusive, perpetual, royalty-free, worldwide license to use, reproduce, modify, distribute, and display such content in connection with our business. You waive any moral rights to the extent permitted by law.

13. DMCA COPYRIGHT POLICY

Utopia Bedding respects intellectual property rights. If you believe your copyright has been infringed, please submit a notice including:
• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury

The Services may include links to third-party websites or tools. Utopia Bedding is not responsible for third-party content, policies, or practices. Use of third-party services is at your own risk.

15. PROHIBITED USES

You agree not to:
• Violate laws or regulations
• Interfere with Service functionality
• Attempt unauthorized access
• Use bots or scraping tools
• Engage in abusive, deceptive, or fraudulent behavior

16. DISCLAIMER OF WARRANTIES

The services and products are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Utopia Bedding shall not be liable for indirect, incidental, consequential, special, or punitive damages including but not limited to loss of profits, revenue, data, or use, arising out of or related to your use of the Services. Utopia Bedding’s total liability shall not exceed the amount you paid to Utopia Bedding for the applicable product.

18. Indemnification

You agree to indemnify and hold harmless Utopia Bedding and its affiliates from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

19. ARBITRATION AGREEMENT & CLASS ACTION WAIVER

Any dispute arising from these Terms or the Services shall be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA). You and Utopia Bedding agree that any proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

You may opt out of arbitration within 30 days of first accepting these Terms by providing written notice.

20. GOVERNING LAW

These Terms are governed by the laws of the State of New York, Texas (Dallas), and California, as applicable, without regard to conflict-of-law principles.

21. FORCE MAJEURE

Utopia Bedding shall not be liable for failure or delay resulting from events beyond reasonable control, including natural disasters, labor disputes, supply chain disruptions, or governmental actions.

22. SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.

23. WAIVER & ASSIGNMENT

Failure to enforce any right shall not constitute a waiver. You may not assign these Terms without consent. Utopia Bedding may assign these Terms freely.

24. TERMINATION
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to our interests or other users.

25. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Utopia Bedding regarding use of the Services.
